California Independent Contractor Privacy Notice

What is the Purpose of this California Independent Contractor Privacy Notice?

Seed Health, Inc. (“Seed Health”, “us”, “we”) is committed to protecting the privacy and security of your personal information. This California Independent Contractor Privacy Notice (the "Privacy Notice") is provided pursuant to the California Consumer Privacy Act, as amended by the California Privacy Rights Act or otherwise (the “CCPA”), and applicable regulations. This Privacy Notice applies to our contractors that reside in California and describes how Seed Health collects and uses your personal information during and after your working relationship with us. We use the term “personal information” to refer to any information that identifies, relates to, or describes an identified or identifiable natural person.

This Privacy Notice does not form part of any contract of employment or other contract to provide services and does not confer any employment status or contractual right on you, or place any contractual obligation on us. We may update this Privacy Notice at any time. It is important that you read this Privacy Notice (please ensure you are looking at the most recent version), so that you are aware of how and why we are using such information.

How is Your Personal Information Collected?

We collect personal information about contractors through the application and engagement process, either directly from the contractor or sometimes from other companies within of the same group of companies as Seed Health or background check provider.

We will collect additional personal information in the course of contractor-related activities throughout the period that you work for us, including the following categories of Personal Information, depending on the particular business purpose and to the extent permitted under applicable law:

  • Categories

    • Personal Identifiers & Contact Information

      • Examples: Name, alias, postal or mailing address, email address, telephone number, social security number, driver’s license or state identification card number, username and password for Company accounts and systems

    • Professional Related Information

      • Examples: Tax forms/1099 forms, safety records, licensing and certification records, performance records, information related to services provided by Independent Contractors, including but not limited to statements of work

    • Financial Information

      • Examples: Invoices billed to the Company, payments made by the Company, other financial account information

    • Visual, Audio or Video Recordings in the Workplace

      • Examples: Surveillance camera footage or pictures of Independent Contractors taken in the workplace or at a Company function or event

    • Facility & Systems Access Records

      • Examples: Information identifying which Independent Contractor accessed secure Company facilities, systems, networks, computers, and equipment, and at what times, using their keys, badges, fobs, login credentials, or other security access method

    • Internet, Network, and Computer Activity

      • Examples: Internet or other electronic network activity information related to usage of Company networks, servers, intranet, or shared drives, including system and file access logs, security clearance level, browsing history, search history, and usage history

    • Mobile Device Security Information

      • Examples: Data identifying Independent Contractors devices accessing Company networks and systems, including cell phone make, model, and serial number, cell phone number, and cell phone provider

  • Retention Period

    • The duration of our contractor relationship with you; the length of time; whether your personal information is a sensitive type; whether you specifically consented to retain the data; and our legal, contractual or similar obligations to retain or delete the data.

What are Our Business Purposes for Processing Your Personal Information?

We use your personal information primarily to manage our relationship with you by providing services that help you carry out your work with us. We also use your personal information to help us manage our business, including management of resources and to carry out marketing, and keep our systems secure. We will use your personal information for the following business purposes:

  • Making a decision about your engagement.

  • Determining the terms on which you work with us.

  • Checking you are legally entitled to work for us and at your worksite.

  • Paying you.

  • Administering contractor relationship we have entered into with you.

  • Performing business management and planning, including accounting and auditing.

  • Conducting performance reviews, managing performance and determining performance requirements.

  • Making decisions about your continued engagement.

  • Making arrangements for the termination of our relationship.

  • Dealing with legal disputes involving you, or other employees, workers and contractors, including accidents at work.

  • Ascertaining your fitness to work.

  • Complying with health and safety obligations.

  • Preventing fraud.

  • Monitoring your use of our information and communication systems to ensure compliance with our IT policies.

  • Ensuring network and information security, including preventing unauthorized access to our computer and electronic communications systems and preventing malicious software distribution.

  • We do not sell any employee, worker, or contractor personal information (including sensitive personal information) to a third party nor do we share employee, worker, or contractor personal information (including sensitive personal information) for targeted advertising purposes.

If we need to use your personal information for an unrelated purpose, we will notify you and we will explain the legal basis which allows us to do so.

Your Rights Under California Law

Under certain circumstances, by law you have the right to:

  • To be informed about the use of your personal information. This Privacy Notice provides such information to you.

  • Access to your personal information collected within the previous 12 months. This enables you to receive a copy of the personal information we hold about you and to check that we are lawfully processing it.

  • Correct inaccurate information. This enables you to ask us to correct inaccurate or out-of-date personal information we have on file for you.

  • Restrict certain processing of certain personal information.

  • Erasure of your personal information. This enables you to ask us to delete or remove personal information where there is no good reason for us continuing to process it.

  • Opt-out of selling or sharing personal information. Please note, we do not sell or share your personal information, as those terms are used under the CCPA.

California residents may not be discriminated against for exercising their California privacy rights.

If there is a disagreement with any information contained in a contractor’s record, removal or correction of such information may be mutually agreed upon by Seed Health and the contractor. If an agreement is not reached, the contractor may submit a written statement explaining their position which shall become a part of such contractor's personnel record. The statement shall be included when said information is transmitted to a third party as long as the original information is retained as part of the file.

If you want to review, verify, or request erasure of your personal information, or request that we transfer a copy of your personal information to another party, please contact Human Resources or the Seed Legal Department in writing.

We reserve our right to object to your request if the request is manifestly unfounded or excessive. A subject access request is likely to be manifestly unfounded or excessive where it repeats a request to which the organization has already responded. If a request is submitted that is unfounded or excessive, we will notify the requesting individual that this is the case and whether or not we intend to respond to it.

No fee usually required

You will not have to pay a fee to access your personal information (or to exercise any of the other rights). However, we may charge a reasonable fee if your request for access is clearly unfounded or excessive.

Alternatively, we may refuse to comply with the request in such circumstances.

Verifying your identity

We may need to request specific information from you to help us confirm your identity and ensure your right to access the information (or to exercise any of your other rights). This is another appropriate security measure to ensure that personal information is not disclosed to any person who has no right to receive it.

Changes to our Privacy Notice

Any changes we make to our Privacy Notice in the future will be posted where appropriate.
